These Terms and Conditions ("Terms") govern your use of the website operated by Synaptra Pte. Ltd. ("Synaptra", "we", "us", or "our") at synaptinse.live and the professional AI capability programmes we offer. By accessing our website or engaging our services, you agree to these Terms in full.

If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

1. Definitions

  • "Service" refers to all AI capability programmes and consulting engagements offered by Synaptra, including the AI Literacy Training Program, Speech & Audio Intelligence Platform, and Responsible AI Implementation Program.
  • "User" / "Client" refers to any individual or organisation accessing our website or engaging our services.
  • "Content" means any materials, documentation, frameworks, or deliverables produced during or in connection with a Service engagement.
  • "Agreement" means these Terms together with any programme-specific scope agreement or proposal accepted by both parties.

2. Acceptance of Terms

By using our website or engaging our services, you confirm that:

  • You are at least 18 years of age or are acting on behalf of an authorised organisation
  • You have the legal capacity to enter into a binding agreement
  • You accept these Terms in their entirety

3. Service Description

Synaptra provides structured AI capability programmes to organisations operating in Singapore and the wider Asia-Pacific region. Our three core offerings are:

  • AI Literacy Training Program (from SGD 350 per participant)
  • Speech & Audio Intelligence Platform (from SGD 1,560 per engagement)
  • Responsible AI Implementation Program (from SGD 2,150 per engagement)

The specific scope, deliverables, and timeline for each engagement are defined in a written proposal agreed by both parties prior to commencement. Synaptra reserves the right to decline any engagement request without providing reasons.

4. User Responsibilities

When using our website or participating in our programmes, you agree to:

  • Provide accurate and complete information when submitting enquiries or entering into an engagement
  • Not use our website for any unlawful, misleading, or harmful purpose
  • Not attempt to gain unauthorised access to any systems or data belonging to Synaptra or third parties
  • Not reproduce, distribute, or commercialise programme materials without written permission
  • Cooperate reasonably in providing context and access necessary for programme delivery

5. Intellectual Property

All website content, branding, curriculum materials, methodologies, and frameworks developed by Synaptra remain our intellectual property unless explicitly transferred in writing.

Clients are granted a limited, non-exclusive, non-transferable licence to use deliverables produced specifically for their engagement for their internal organisational purposes. This licence does not permit sub-licensing, resale, or public distribution.

Pre-existing intellectual property contributed by either party to an engagement remains the property of the contributing party.

6. Payment Terms

  • Currency: All fees are quoted in Singapore Dollars (SGD) unless otherwise agreed in writing.
  • Payment schedule: Typically 50% on engagement commencement and 50% on completion, unless otherwise specified in the proposal.
  • Refunds: Fees paid for work already completed are non-refundable. Unused portions of prepaid fees may be refunded on a pro-rata basis subject to written agreement.
  • GST: Applicable Singapore Goods and Services Tax will be added to invoices where required.

7. Service-Specific Terms

AI Literacy Training Program: Delivery requires a confirmed participant list at least 5 business days before the programme starts. Scope adjustments after commencement may incur additional charges.

Speech & Audio Intelligence Platform: Clients are responsible for providing access to representative audio data for model tuning in a format agreed during scoping. Synaptra will not retain client audio data beyond the engagement period.

Responsible AI Implementation Program: Deliverables such as policy documents and impact assessments are produced for the client's internal use. Synaptra does not accept liability for regulatory outcomes arising from their implementation.

8. Disclaimers

Our website and services are provided in good faith on an "as is" basis. Synaptra does not warrant that:

  • Any AI system or model will achieve specific performance metrics in your environment
  • Programme participation will produce specific organisational outcomes
  • The website will be uninterrupted or free from errors at all times

Nothing in our materials constitutes legal, financial, or regulatory compliance advice. Organisations should obtain independent professional advice for decisions with significant regulatory implications.

9. Limitation of Liability

To the maximum extent permitted under Singapore law, Synaptra's total liability arising from or in connection with any engagement shall not exceed the total fees paid by the client for that specific engagement.

We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or reputational harm, arising from use of our services or website.

10. Indemnification

You agree to indemnify and hold Synaptra, its directors, employees, and contractors harmless from any claim, cost, or liability arising from your use of our website or services in breach of these Terms, or from any content or data you provide to us in connection with an engagement.

11. Termination

Either party may terminate an engagement with 14 days' written notice. Upon termination:

  • Fees for work completed up to the termination date are payable
  • Deliverables for completed work will be provided to the client
  • Provisions relating to intellectual property, liability, and confidentiality survive termination

12. Dispute Resolution

These Terms are governed by the laws of Singapore. Any dispute arising under or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If resolution is not achieved within 30 days, either party may refer the matter to mediation through the Singapore Mediation Centre before pursuing litigation.

The courts of Singapore shall have exclusive jurisdiction over any legal proceedings arising from these Terms.

13. General Provisions

  • Entire Agreement: These Terms, together with any signed proposal, constitute the entire agreement between the parties regarding its subject matter.
  • Severability: If any provision is found unenforceable, the remainder of these Terms continues in full effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of the right to do so in future.
  • Assignment: You may not assign your rights or obligations under these Terms without our written consent.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via our website. The updated Terms take effect on the date published. Continued use of the website or engagement with our services after that date constitutes acceptance of the revised Terms.
